General Terms and Conditions of Sale (GTCS) – Seven Script LLC
Version effective as of 01/01/2025
Seven Script LLC, a company registered in the United Arab Emirates, specifically in the Emirate of Ras Al Khaimah (RAK), specialized in digital creation, marketing, advertising, SEO, and training, establishes the present General Terms and Conditions of Sale (GTCS), which govern all of its services.
These GTCS apply to any service order placed between Seven Script LLC (hereinafter referred to as "the Agency") and its clients (hereinafter referred to as "the Client"). They take precedence over any purchase terms or other documents issued by the Client, unless otherwise agreed in writing.
2.1 Each order is subject to a detailed quote. The project begins only after the quote has been approved via electronic or handwritten signature and after the first deposit has been received.
2.2 Payment terms are specified in the quote and may include:
Full payment before the start of the project
Payment in two installments: 50% upon order, 50% upon final delivery (prior to going live in the case of a website)
Payment in three installments: according to a defined schedule, with the first payment always greater than the others
2.3 All approvals of mockups, drafts, or deliverables must be confirmed in writing via email. If approval is given orally or via instant messaging (WhatsApp, etc.), a follow-up email is systematically sent.
2.4 Delays in Client feedback: Any delay exceeding 14 business days in the Client's responses or approvals will result in:
Temporary suspension of the project without the possibility of refund
Additional charges to resume the project, based on the time required to restart
3.1 Prices are expressed in AED unless otherwise stated. Invoices must be paid according to the deadlines indicated in the accepted quote.
3.2 Late payment: Any delay will result in a flat penalty of 10% of the amount due, in accordance with Article 88 of the UAE Federal Commercial Law (Federal Law No. 18 of 1993).
3.3 All amounts paid are non-refundable, including in the event of cancellation or modification of the project by the Client. Acceptance of these GTCS constitutes full and final agreement on this matter.
4.1 Unless otherwise specified in the quote, each service includes up to three rounds of revisions (V1, V2, V3).
4.2 Any additional revisions or requests outside the initial scope will require a separate quote for approval.
4.3 Any new request outside the original scope is considered an additional service.
5.1 All deliverables provided by the Agency remain its exclusive property until full payment has been received. No use, reproduction, or modification is permitted before full payment.
5.2 The Client agrees not to reproduce or reuse for their own purposes any mockups, visuals, concepts, texts, or presentations shared by the Agency without written permission.
5.3 Credit mentions (e.g., "Seven Script" copyright) placed in the footer of created websites may not be removed without the Agency’s written consent.
6.1 Cancellation by the Client:
Before the start of the project: the deposit remains due and is non-refundable
After version 2 (V2) of the deliverable: 100% of the amount is due, even if the Client chooses not to finalize the project
6.2 Termination by the Agency: The Agency may terminate a contract at any time in the event of non-compliance with payment terms, repeated delays, inappropriate behavior, or clear bad faith. Any amounts paid up to the point of termination remain acquired by the Agency.
7.1 Maintenance services include:
Regular updates (plugins, themes)
Bug fixes
Regular backups
Website security (monitoring, SSL certificates)
Technical support via email
7.2 Maintenance is optional and offered as a monthly subscription, invoiced separately.
8.1 The Agency commits to providing a professional service with diligence and quality. However, it is bound by an obligation of means, not of results.
8.2 The Client is solely responsible for the content provided (text, images, videos) and for ensuring its legal compliance (copyright, GDPR, etc.).
9.1 Content sold in the form of PDFs, guides, or online training is protected by UAE intellectual property law. Any reproduction or distribution is strictly prohibited.
9.2 Video coaching sessions are personal and non-transferable. No recording or resale is permitted.
These GTCS are governed by the laws in force in the United Arab Emirates. Any dispute relating to their interpretation or execution shall fall under the exclusive jurisdiction of the courts of Ras Al Khaimah (RAK).
Appendix
1.1 Timeline and delivery
The estimated delivery time is between 4 to 6 weeks depending on the complexity of the project, provided that all required materials (texts, visuals, approvals) are received on time.
Any delay in content submission or validation from the Client will proportionally extend the project timeline.
Seven Script cannot be held responsible for any shift in the initial schedule resulting from such delays.
1.2 Number of revisions included
The service includes up to three (3) rounds of revisions on mockups, content, and deliverables.
Any additional changes will be subject to a supplementary quote.
1.3 Final delivery
The final version is delivered only after written approval (email) of the validated version (V3) and receipt of full payment.
Website publication (go-live) occurs only after the outstanding balance is settled.
1.4 Copyright and footer credit
Seven Script reserves the right to include a discreet credit such as “Website created by Seven Script” in the footer.
The Client agrees not to remove or alter this credit without prior written consent.
Any unauthorized removal or modification will result in a fixed fee of 2,000 AED for breach of intellectual property.
1.5 Reproduction & inspiration rights
All ideas, mockups, graphic proposals, and presentation materials (PDFs, wireframes, wireflows, etc.) provided to the Client remain the exclusive intellectual property of Seven Script, even after full payment.
The Client is granted a non-exclusive, personal right to use the final deliverables strictly within the context of their project.
Any reproduction, reuse, distribution to third parties, or use in another project without written approval is strictly prohibited.
In case of breach, Seven Script reserves the right to initiate legal action for copyright infringement, in accordance with the UAE Federal Decree Law No. 38 of 2021 on Copyright and Related Rights.
2. Website maintenance (optional service)
2.1 Maintenance scope
Monthly maintenance includes:
Regular plugin and theme updates
Automatic backups
Bug monitoring and resolution
Website security (SSL certificate updates, monitoring)
Email-based technical support
⚠️ Not included: new feature integration, redesigns, major content updates, SEO, or fixes after incorrect handling.
These services will require an additional quote.
The subscription is monthly, automatically renewed, and cancelable by email 15 days before the next billing cycle.
2.2 Duration & payment
Maintenance is offered as a monthly subscription without commitment, payable at the beginning of each month.
In the event of non-payment, services will be automatically suspended 10 days after a reminder remains unanswered.
2.3 Responsibilities
Seven Script shall not be held liable for hacking, intrusion, or hosting provider failures, unless an advanced security package has been specifically contracted.
2.1 SEO deliverables
Full SEO audit report (technical, on-page, keyword analysis, benchmarking, etc.)
Recommendations and priority actions
Implementation of optimizations (if included in the quote)
Follow-up reports (frequency defined in the quote)
2.2 Client obligations
The Client agrees to:
Provide full access to their website and tools (CMS, Google Analytics, Google Search Console, etc.)
Implement or approve the implementation of recommendations if not included in the offer
Not modify SEO optimizations without prior notice
2.3 Limitations of liability
Seven Script does not guarantee specific rankings on Google or immediate traffic growth.
SEO results depend on numerous external factors (market, algorithms, competition, etc.) outside the agency's control.
No refunds will be issued in case of traffic drops, lack of results, or unmet objectives.
2.4 Monitoring & duration
SEO services are defined per period (one-time audit, 1 to 6-month project).
Any renewal must be confirmed via an addendum or a new signed quote.
2.5 Ownership & confidentiality
All strategies, recommendations, created content, and SEO documentation remain the intellectual property of Seven Script, even after payment.
The Client is granted usage rights solely within the scope of their own website.
Any sharing, reproduction, or resale without prior written consent is strictly prohibited.
2.6 Delays and suspension
If the Client fails to provide essential elements within 15 days, the service may be suspended.
If the project does not resume within an additional 30 days, it will be considered closed, with no refund issued.
Late payment will automatically suspend any SEO follow-up actions.
2.7 Payment
Payment is due according to the terms outlined in the quote.
No refunds are possible once the order is confirmed and the service has started.
3.1 Prerequisites
The Client agrees to provide all necessary access for campaign management: Business Manager, ad accounts, Pixel, admin access to the website, etc.
Any delay in providing these accesses may impact the campaign’s launch or performance.
3.2 Results commitment
Seven Script commits to using all technical and strategic means to achieve the set objectives.
However, no specific results (number of conversions, leads, or sales) can be guaranteed, as outcomes depend on multiple factors beyond the agency's control (market conditions, competition, offer, budget, etc.).
3.3 Advertising budget
The advertising budget is always excluded from the agency’s fees and must be managed directly by the Client through the respective platform.
Seven Script only charges for campaign setup and management services.
3.4 Deliverables
Depending on the selected package, deliverables may include:
Creation of campaign visuals and videos
Copywriting of ad headlines and descriptions
Full campaign setup and configuration
Weekly or monthly monitoring (as per the agreement)
Performance reports with analysis and recommendations
3.5 Revisions & iterations
Campaign adjustments are made based on collected data and feedback.
The number of iterations (ad changes, targeting updates, new visuals, etc.) depends on the chosen package and will be specified in the quote.
3.6 Intellectual property
All visuals, copy, and other advertising materials produced by Seven Script as part of the project remain the property of the agency until full payment is received.
Upon full payment, the Client is granted a limited usage right strictly for internal needs and within the scope of the agreed campaign.
Any reuse of visuals or content (beyond the initial campaign), whether partial or complete, requires prior written approval from Seven Script. This includes, but is not limited to:
Reuse for a new campaign, even if identical
Adaptation or modification of content without validation
Transfer of content to a third party (agency, freelancer, etc.) for reuse
If these terms are not respected, Seven Script reserves the right to demand the immediate removal of the content in question and to invoice an additional usage fee, calculated according to the current rate or case-by-case agreement.
3.7 Delays & interruptions
In the event of an interruption or cancellation of the campaign by the Client (payment delay, changes to the brief, revoked access, etc.), no compensation or refund shall be granted.
3.8 Duration & renewal
The services are agreed for a duration specified in the quote.
Any extension must be confirmed through an addendum or a new signed quote.
4.1 – Scope of the service
The social media management service includes all or part of the following elements, depending on the quote provided:
Development of a monthly or quarterly editorial strategy
Creation of graphic and written content (posts, stories, carousels, short videos, etc.)
Scheduling and publishing content on the agreed platforms (Instagram, Facebook, LinkedIn, etc.)
Community management (comment moderation, responses to private messages), if specified
Monthly performance reporting (or another frequency specified in the quote)
4.2 – Schedule and deadlines
Seven Script will provide the Client with a monthly editorial calendar for approval.
The Client has 48 hours to validate or request changes.
If no feedback is received within this period, the calendar is considered approved.
Any delay in response from the Client may result in a shift or temporary suspension of publication, for which Seven Script cannot be held liable.
4.3 – Revision limits
Unless otherwise specified in the quote, two rounds of revisions (V2 and V3) are included per content batch.
Beyond this, any additional modification will require a supplementary quote.
4.4 – Responsibility for access
The Client must provide administrator access to the relevant accounts or access via Business Manager.
Seven Script cannot be held responsible for any delay or malfunction caused by lack of access or technical restrictions.
4.5 – Intellectual property
All content created (visuals, texts, templates) remains the property of Seven Script until full payment for the service is received.
Once full payment has been made, the Client is granted a non-exclusive usage right, strictly limited to their own social media channels.
Any use on other accounts, modification, resale, or commercial reuse is strictly prohibited without prior written consent from the agency.
Seven Script reserves the right to showcase the created content in its portfolio or on its communication channels for the purpose of presenting its work.
5.1 – Scope of the service
The branding service may include, as per the agreed quote:
Creation of the primary logo and secondary versions
Development of brand guidelines (colors, typography, variations, moodboard)
Branded templates (social media, business cards, PDF presentations, etc.)
Brand usage guide, if specified
5.2 – Design process and validation
The Client will receive an initial proposal (V1), followed by two rounds of included revisions (V2 and V3).
Any additional versions beyond this will be subject to a separate quote.
Each version will be delivered via email and will require written approval from the Client.
5.3 – Final deliverables
Final files (in .png, .pdf, .jpeg, .svg or other formats as outlined in the quote) will be delivered only after final approval and full payment of the service.
Source files (Adobe Illustrator, Photoshop, etc.) will only be provided if explicitly included in the quote.
Otherwise, they remain the full property of Seven Script.
5.4 – Rights of use and reproduction
The Client is granted a personal, non-exclusive, and non-transferable right of use for their own communication needs.
Any partial or full reproduction for resale or redistribution purposes is strictly prohibited.
Seven Script reserves the right to feature the branding elements in its portfolio, unless the Client explicitly objects in writing at the time of signing the quote.
6.1 – Scope of the service
Seven Script offers training and coaching in various formats, including:
Downloadable PDF guides
Online video training sessions (individual or group)
Personalized support (strategy, technical guidance, coaching)
6.2 – Access and scheduling
PDF guides are sent by email or made available via a secure link after payment.
Video sessions are scheduled in advance via email or through Calendly.
Any missed session without justification at least 24 hours in advance is considered due. Only one reschedule per session is allowed.
6.3 – Intellectual property and confidentiality
All training materials (PDFs, presentation slides, worksheets, strategic frameworks, recordings, and any documents shared or presented) remain the exclusive property of Seven Script.
They are intended solely for the personal use of the Client.
Any reproduction, distribution, modification, or resale is strictly prohibited and may result in legal action or contractual penalties.
6.4 – Limitation of liability
Seven Script is committed to providing the best possible tools and guidance. However, no specific result is guaranteed, as outcomes depend on the Client’s own implementation.
